DISTANCE SALES AGREEMENT
Article 1 - Parties to the Agreement:

Article 2 - Subject of the Agreement:
2.1. The Buyer acknowledges and declares that they have received all the essential information about the goods/services, including the price, payment method, delivery conditions, and the right of withdrawal, and that they have confirmed this information electronically before placing the order. Furthermore, the person to whom the invoice for the product will be issued is also a party to this agreement. The Buyer is obligated to provide accurate, complete, and correct information. The Buyer accepts the liability and responsibility for any damage that may arise from providing incomplete or incorrect information.
2.2. The information provided on the payment page of the panopinko.com website, including the invoice, is an integral part of this agreement.
Article 3 - Agreement Date and Force Majeure:
3.1. This agreement, signed by the Seller beforehand, will be accepted by the Buyer by signing on ............. and one copy will be sent to the Buyer via email. In case of force majeure situations where the fulfillment of the obligations by either party becomes impossible or delayed, the party affected must immediately notify the other party in writing. Force majeure is defined as natural disasters, war, terrorism, insurrection, changes in regulations, confiscation, strike, lockouts, significant faults in production or communication systems, etc.
3.2. If force majeure continues for 30 days, either party may terminate the agreement unilaterally.
Article 4 - Delivery Costs and Execution:
4.1. Delivery costs are borne by the Buyer. If the Seller has stated on the website that they will cover delivery charges for orders above a certain amount, the Seller will bear the delivery cost.
4.2. Delivery will be made after the stock is available and payment has been received. The Seller will deliver the product/service within 30 (thirty) days after the order is placed, with the possibility of a 10 (ten) day extension after notifying the Buyer in writing. If the product/service fee is not paid or is canceled in the bank records, the Seller is no longer obligated to deliver the product/service.
Article 5 - Seller's Rights and Obligations:
5.1. The Seller is responsible for delivering the product/service in a proper condition, complete, and in accordance with the specifications stated in the order, along with any warranty certificates and user manuals. The Seller is not responsible if the product/service is not accepted by the recipient.
5.2. If the Seller believes the product/service cannot be delivered, they will inform the Buyer before the fulfillment deadline, and any payments made will be refunded within 10 (ten) days.
5.3. The Buyer must be at least 18 years old. If the Buyer is under 18, the Seller will rely on the age specified by the Buyer in the agreement and will not be held responsible for incorrect age information.
Article 6 - Buyer's Rights and Obligations:
6.1. The Buyer agrees to fulfill all obligations specified in this agreement unless there are force majeure circumstances and accepts the terms of the agreement once they place an order.
6.2. The Buyer must inspect the product upon delivery and reject any damaged goods (e.g., broken, torn packaging). Once the product is accepted, the Buyer is responsible for its care.
6.3. If the product is used by unauthorized persons after delivery, the Buyer must return the product within 3 (three) days at their own expense.
Article 7 - Product/Service Details:
7.1. The type, quantity, brand, model, color, and price of the product/service, including all applicable taxes, are specified in the product description on panopinko.com and in the invoice, which is an integral part of this agreement.
Article 8 - Prepayment/Postponed Payment Price:
8.1. The prepayment/postponed price of the product/service is provided in the example invoice sent via email after the order is completed.
Article 9 - Order, Payment, and Shipment:
9.1. In case the Buyer makes a purchase using a credit card and installments, the chosen installment method and number of installments apply. The payment date is determined by the agreement between the Buyer and the bank.
9.2. In case of wire transfer (EFT), the date of payment will be based on when the payment is received in the Seller’s account.
9.3. The Buyer’s payment will be processed through the Seller’s payment gateway. The Seller will send an order confirmation email before shipping the product.
9.4. Any issues related to payments or credit card transactions will be communicated to the Buyer through the contact information provided.
Shipment:
9.6. Once the order is confirmed, the product(s) will be handed over to the agreed courier company. The Buyer will be notified via email about the shipment tracking number.
9.7. In areas where address delivery is not possible, the Buyer must accept the responsibility to pick up the product from the nearest courier branch.
9.8. The Seller is not responsible for additional shipping fees in case of delivery rejection by the recipient or incorrect shipping details provided by the Buyer.
Article 10 - Product Return and Withdrawal Procedure:
10.1. The Buyer has the right to withdraw from the agreement within 14 (fourteen) days from the date of delivery, without any justification or penalty, by notifying the Seller in advance. The product must be returned with the original invoice. The Seller will refund the full amount within 10 (ten) days after receiving the returned product.
10.2. The Buyer agrees to not damage the product or its packaging when returning it and to include the original invoice.
10.3. Customized products cannot be returned unless they are defective.
Article 11 - Product Warranty:
11.1. The warranty period for the product is specified on the product page on panopinko.com and is determined by the supplier. Warranty conditions apply as per the manufacturer's guidelines.
Article 12 - Confidentiality Obligations:
12.1. The Seller will not share any personal information with third parties. However, in case of legal obligations, the Seller may disclose information to the authorities.
Article 13 - Jurisdiction and Authorities:
13.1. In case of disputes arising from this agreement, Consumer Arbitration Committees will be authorized for disputes under the value set by the Ministry of Industry and Commerce. For disputes above this value, Consumer Courts will be authorized. If there are no Consumer Courts, Civil Courts of First Instance will be authorized.
